1. Purpose and Scope
This Agreement governs all vehicle sale-related transactions initiated through PickARide.ng, whether by an individual car owner, dealership, or commercial operator. The Platform provides a digital environment for listing, promoting, and transacting vehicle sales but does not act as a seller, broker, or legal agent in the transaction.
2. Seller Eligibility and Verification
To be eligible to list vehicles on PickARide.ng, the Seller must:
- Be at least 18 years of age and have the legal capacity to enter binding contracts under Nigerian law.
- Register with accurate and complete information, including:
- Full name (for individuals)
- Business name and registration number (for companies)
- Valid contact information
- Complete identity verification, including:
- Government-issued ID (individuals)
- CAC registration and tax identification documents (companies)
- Upload ownership documents for each listed vehicle, including:
- Proof of ownership (purchase receipt or change-of-ownership form)
- Vehicle registration, insurance certificate, and roadworthiness certificate
- Pass platform review and approval before being authorized to publish listings
Verified sellers will receive a digital verification badge on their profile and listings.
3. Vehicle Listing Requirements
Sellers must ensure that every vehicle listed:
- Is owned solely or jointly with full legal authority to sell
- Is free from legal encumbrance, lien, outstanding loan, or litigation or any similar matter
- Is accurately described, including:
- Make, model, year, condition, mileage, fuel type, and transmission
- Vehicle Identification Number (VIN), registration number, and documentation
status
- Includes clear, unaltered photographs showing:
- Exterior (all sides), interior, dashboard (with mileage), engine bay, and tires
- Discloses any:
- Accident history
- Known mechanical or cosmetic faults
- Title discrepancies or customs-related irregularities (for foreign imports)
The Platform reserves the right to reject, suspend, or remove any listing that contains:
- False or misleading information
- Offensive, watermarked, or stolen media
- Duplicates of the same vehicle
- Vehicles not authorized for sale
4. Pricing and Offer Terms
- Sellers determine the listing price and may enable or disable the “negotiable” option.
- All pricing must reflect the total cost to the buyer, inclusive of applicable taxes or third-party processing fees (if any).
- Sellers must not misrepresent the price or engage in “bait pricing” (listing low prices to
attract users, only to upsell). - Once a buyer initiates a transaction or makes an offer that is accepted, the price becomes
binding, and:- The Seller must not attempt to renegotiate, cancel, or reroute the deal off-platform
- The Seller is expected to cooperate in finalizing payment and vehicle handover
5. Fees, Commission, and Payment Processing
- Upon successful sale of a vehicle, PickARide.ng will deduct a 10% commission from the gross transaction value.
- Commission is automatically deducted prior to payout, and is non-refundable, even in cases where the buyer later resells or returns the vehicle.
- The Platform may also charge:
- Listing fees (e.g., for Premium or Executive tiers)
- Commission and fee structures are publicly posted and subject to periodic updates.
- Payments to sellers are processed only after:
- Confirmation of payment by the buyer
- Transfer of vehicle title (where escrow applies)
- Resolution of any outstanding disputes
6. Buyer Engagement, Inspection, and Handover
Sellers must:
- Respond promptly to buyer inquiries, inspection requests, or test drive scheduling
- Meet buyers at safe, agreed locations (e.g., VIO office, dealership, secure premises)
- Allow reasonable physical inspections and test drives under supervised conditions
- Cooperate with formal transfer, including:
- Signing of change-of-ownership forms
- Handover of physical documents (vehicle license, insurance, roadworthiness,
custom papers, etc.) - Confirmation of identity (e.g., buyer’s ID photocopy)
PickARide.ng recommends that all inspections and handovers are documented (e.g., signed checklist, photos, buyer-seller exchange forms) to avoid disputes.
7. Cancellation, Withdrawal, and Dispute Resolution
- Sellers may withdraw a listing before a buyer commits to purchase, but repeated withdrawals or post-confirmation cancellations may result in account penalties or deactivation.
- In cases of disputes (e.g., buyer claims vehicle misrepresentation, failure to deliver, or incomplete documentation), the Platform may:
- Review transaction records, chat logs, and uploaded documentation
- Mediate between buyer and seller to achieve fair resolution
- Temporarily withhold funds until the matter is resolved
- Suspend or terminate accounts found to be abusive, fraudulent, or negligent
PickARide.ng may escalate unresolved or serious disputes to the appropriate law enforcement or regulatory agency.
8. Seller Representations and Warranties
By listing a vehicle for sale, the Seller expressly represents and warrants that:
- They are the rightful owner or have full authority (via power of attorney or joint-owner authorization) to sell the vehicle
- The vehicle is not stolen, cloned, or previously involved in illegal activity
- All documentation submitted to the Platform is accurate, current, and valid.
- No third party (e.g., lienholder, co-owner) will contest the sale.
- The Seller will not engage in price manipulation, feedback tampering, or off-platform redirection of buyers.
PickARide.ng advises all Buyers to independently verify the accuracy and authenticity of any representations, statements, or documents supplied by the Seller prior to finalizing a purchase
9. Limitation of Liability
PickARide.ng acts solely as a digital intermediary. It does not:
- Own or inspect the vehicles listed
- Guarantee buyer payment, vehicle condition, or document authenticity
- Accept liability for post-sale issues, including:
- Defects, accidents, or dissatisfaction with the vehicle
- Title disputes between joint owners or prior financiers
- Fraudulent claims or user misrepresentations
The Seller acknowledges that all transactions are at their own risk, and agrees to indemnify the Platform from all claims arising out of or related to the sale.
10. Suspension, Account Termination, and Fund Withholding
The Platform may suspend, limit, or permanently deactivate a Seller’s account if the Seller:
- Fails repeated verification checks
- Engages in abusive or unethical conduct
- Uploads fake listings or stolen content
- Attempts to bypass fees or commissions
- Receives consistent verified complaints from buyers
In such cases, the Platform may:
- Withhold proceeds from recent sales pending investigation
- Restrict access to seller tools or deactivate listings
- Refer the matter to law enforcement where appropriate
11. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the Federal Republic of Nigeria.
- All disputes not resolved internally shall be referred to arbitration in Lagos in accordance with the Arbitration and Mediation Act, 2023.
- The arbitration shall be conducted in Lagos, in English, by a single arbitrator mutually appointed by both parties, and the decision shall be final and binding.
